Terms of Service

These Terms of Service (“Terms”) govern your access to and use of CAPSULE ERP, including its websites, applications, APIs, integrations, business-management tools, communication features, automation features, artificial intelligence features, and related services (collectively, the “Service”).
CAPSULE ERP is operated by Wulpix by Sarangan Shanmuganathan (“CAPSULE”, “we”, “our”, or “us”).
By creating an account, accessing, purchasing, or using the Service, you agree to these Terms.
If you are using CAPSULE ERP on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.
1. Eligibility
You must be legally capable of entering into a binding agreement to use CAPSULE ERP.
The Service is intended primarily for businesses, professionals, organizations, entrepreneurs, and their authorized users.
CAPSULE ERP is not intended for use by children.
2. Your CAPSULE account
You are responsible for:
- Providing accurate account and business information
- Maintaining the confidentiality of your login credentials
- Managing users, roles, permissions, and access within your organization
- Ensuring that people using your CAPSULE account are authorized to do so
- Promptly notifying us if you suspect unauthorized account access
You are responsible for activity performed through your account unless caused by a security failure attributable to CAPSULE.
3. Business accounts and administrators
CAPSULE ERP may allow an organization to create multiple users with different roles and permissions.
The business or account administrator may be able to:
- Invite or remove users
- Assign roles and permissions
- Access business records
- Manage integrations
- Configure workflows and automation
- Manage subscriptions and billing
- Control access to applications and features
If you are using an account provided by your employer or another organization, that organization may control your access to data within CAPSULE.
4. The Service
CAPSULE ERP may provide features including:
- Customer relationship management
- Leads and customer management
- Social Inbox and messaging
- Orders and sales management
- Products and services
- Inventory and stock management
- Tasks and follow-ups
- Business reporting
- Integrations with third-party services
- Workflow automation
- Artificial intelligence and AI-assisted tools
- APIs and connected applications
- Booking, enquiry, quotation, and related operational tools
- Other business-management features introduced from time to time
Features may vary depending on your subscription, package, industry configuration, country, integrations, or plan.
5. Third-party integrations
CAPSULE ERP may allow you to connect third-party services such as:
- Messenger
- Shopify
- WooCommerce
- Google services
- Payment processors
- Email or communication services
- Accounting platforms
- Other third-party applications
When you connect a third-party service, you authorize CAPSULE to access and process information made available through that service according to the permissions you grant.
Your use of a third-party service remains subject to that provider’s own terms, policies, restrictions, API rules, and availability.
We do not control third-party services and are not responsible for:
- Changes to their APIs
- Service interruptions
- Permission changes
- Account suspensions
- API limitations
- Platform policies
- Data removed or restricted by the third party
A third-party provider may limit, suspend, or discontinue an integration at any time.
6. Meta, Instagram, Facebook and messaging integrations
If you connect a Meta, Instagram, Facebook, Messenger, WhatsApp, or related account to CAPSULE ERP, you authorize CAPSULE to use the permissions granted during the applicable authorization process.
Depending on the integration, this may allow CAPSULE to process:
- Account identifiers
- Professional profile information
- Direct messages
- Conversations
- Comments and replies
- Media or post information
- Access tokens
- Webhook events
- Other information made available through the applicable API
CAPSULE ERP does not require you to provide your Instagram or Meta password directly to CAPSULE when OAuth or another provider-managed authorization process is used.
Your use of Meta services remains subject to Meta’s applicable terms and policies.
7. Customer and business data
As between you and CAPSULE, you retain ownership of the business information and content you submit to the Service, subject to the rights necessary for CAPSULE to operate the Service.
You grant CAPSULE a limited right to host, process, transmit, reproduce, and otherwise use your data solely as reasonably necessary to:
- Provide the Service
- Operate integrations
- Perform synchronization
- Provide automation and workflows
- Generate reports
- Provide support
- Maintain security
- Comply with legal obligations
- Provide AI-assisted functionality where enabled
You are responsible for ensuring that you have the right and lawful basis to provide and process the data you upload to CAPSULE.
8. Your customers’ personal information
Businesses using CAPSULE ERP may store information about their own customers, leads, employees, suppliers, contacts, or other individuals.
In many situations, the CAPSULE customer determines:
- Why personal information is collected
- Which information is stored
- How it is used
- How long it is retained
- Who may access it
Where applicable, the CAPSULE customer acts as the relevant business, organization, controller, or equivalent responsible party, while CAPSULE acts as a service provider or processor.
You are responsible for complying with applicable privacy and data-protection requirements relating to information you place into CAPSULE.
9. Communications and messaging
If you use CAPSULE ERP to send or receive messages, comments, emails, SMS messages, social-media communications, or other communications, you are responsible for complying with applicable laws and third-party platform requirements.
You must not use CAPSULE to send:
- Spam
- Fraudulent communications
- Unlawful marketing
- Harassment
- Abusive communications
- Deceptive messages
- Communications prohibited by applicable platform rules
You are responsible for obtaining any consent required to communicate with customers or contacts.
10. Artificial intelligence features
CAPSULE ERP may include AI-assisted features that can help with tasks such as:
- Drafting replies
- Classification
- Recommendations
- Summarization
- Business analysis
- Workflow suggestions
- Automation
- Customer support
- Operational assistance
AI-generated results may be incomplete, inaccurate, outdated, or unsuitable for a particular situation.
You are responsible for reviewing AI-generated output before relying on it or sending it to another person.
AI features should not be treated as a substitute for professional legal, medical, accounting, financial, regulatory, or other professional advice.
Where CAPSULE allows automated actions, you are responsible for configuring appropriate approvals, permissions, and safeguards.
11. Automation
CAPSULE may allow workflows or actions to run automatically.
You are responsible for:
- Configuring automations correctly
- Reviewing automated actions where appropriate
- Ensuring automation complies with applicable laws
- Monitoring important business workflows
- Maintaining appropriate approval controls
We do not guarantee that every automation, integration, webhook, notification, or scheduled action will execute without delay or interruption.
12. Acceptable use
You may not use CAPSULE ERP to:
- Violate applicable law
- Commit fraud
- Infringe intellectual-property rights
- Distribute malware
- Attempt unauthorized access to systems or accounts
- Circumvent security controls
- Scrape or access information unlawfully
- Send spam
- Harass or threaten others
- Impersonate another person or organization
- Abuse third-party APIs
- Interfere with the Service
- Reverse engineer the Service except where expressly permitted by law
- Use the Service to create or distribute illegal content
- Resell access except where explicitly authorized
We may restrict or suspend use that threatens CAPSULE, other users, third parties, or the security of the Service.
13. Subscription plans
Some CAPSULE features may require a paid subscription.
Subscription terms may include:
- Monthly or annual billing
- User limits
- Application limits
- Usage limits
- Integration limits
- Storage limits
- Transaction limits
- Feature entitlements
Your selected plan and applicable pricing will be shown at purchase or within your account.
We may introduce, modify, or discontinue plans or features. Changes affecting an existing paid subscription will be handled in accordance with applicable law and any notice commitments presented with your plan.
14. Payments
Paid services may be processed using third-party payment providers.
You authorize CAPSULE and its payment providers to charge the payment method associated with your account for applicable fees, taxes, renewals, and authorized purchases.
Unless otherwise stated, fees are exclusive of applicable taxes.
You are responsible for providing accurate billing information.
15. Renewals and cancellation
Where a subscription renews automatically, it will continue for additional billing periods until cancelled.
You may cancel according to the cancellation options provided within CAPSULE or through the applicable billing provider.
Cancellation generally prevents future renewals but does not automatically entitle you to a refund for an already-paid billing period unless required by law or expressly stated otherwise.
16. Refunds
Unless otherwise stated at the time of purchase, fees are generally non-refundable once the applicable service period has begun.
Nothing in these Terms limits rights that cannot legally be waived under applicable consumer-protection laws.
17. Trials and promotional access
CAPSULE may offer:
- Free trials
- Promotional credits
- Beta access
- Introductory pricing
- Complimentary features
We may modify or end promotional access subject to any terms provided when the offer was made.
18. Beta and testing features
Some CAPSULE functionality may be identified as:
- Beta
- Preview
- Testing
- Experimental
- Early access
These features may be incomplete, change without notice, contain errors, or be discontinued.
You should not rely on beta features for critical business functions without appropriate backups or contingency procedures.
19. Security
We use reasonable administrative, technical, and organizational safeguards designed to protect the Service and information processed through it.
However, no internet-connected system can be guaranteed completely secure.
You are responsible for maintaining secure devices, passwords, user permissions, and internal access controls.
20. Availability
We aim to provide reliable access to CAPSULE ERP but do not guarantee uninterrupted or error-free availability.
The Service may be unavailable due to:
- Maintenance
- Updates
- Infrastructure failures
- Third-party outages
- Internet failures
- Security incidents
- API disruptions
- Events outside our reasonable control
We may perform maintenance or upgrades when reasonably necessary.
21. Intellectual property
CAPSULE ERP and its software, interfaces, designs, trademarks, documentation, functionality, and related intellectual property are owned by CAPSULE or its licensors.
These Terms do not transfer ownership of CAPSULE intellectual property to you.
You receive a limited, non-exclusive, non-transferable right to use the Service during your authorized subscription or access period.
22. Feedback
If you provide suggestions, feedback, or ideas about CAPSULE, you grant us permission to use that feedback without restriction or compensation, provided we do not identify you publicly without permission.
23. Suspension
We may suspend or restrict access where reasonably necessary due to:
- Non-payment
- Security concerns
- Fraud
- Abuse
- Serious violations of these Terms
- Legal requirements
- Misuse of third-party integrations
- Risk to other customers or the Service
Where reasonably possible, we will attempt to provide notice before suspension.
24. Termination
You may stop using CAPSULE ERP and cancel your account according to the account-management options available to you.
We may terminate access where permitted by these Terms or applicable law.
Following termination:
- Your right to use the Service ends
- Integrations may be disconnected
- Access tokens may be revoked or disabled
- Data may be retained or deleted according to our Privacy Policy and applicable legal requirements
25. Data export and deletion
Where supported, you may export or request access to applicable data before closing your account.
You may request deletion according to our Data Deletion instructions.
Data deletion may be subject to:
- Legal retention requirements
- Financial and tax obligations
- Security requirements
- Fraud prevention
- Backup-retention schedules
- Dispute resolution
26. Disclaimers
To the maximum extent permitted by applicable law, CAPSULE ERP is provided on an “as is” and “as available” basis.
We do not guarantee that:
- The Service will always be available
- Every integration will remain supported
- Third-party APIs will remain unchanged
- AI-generated outputs will always be accurate
- Every workflow or automation will execute successfully
- The Service will meet every business requirement
You remain responsible for business decisions made using information available through CAPSULE.
27. Limitation of liability
To the maximum extent permitted by applicable law, CAPSULE and its affiliates, directors, employees, contractors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, business opportunity, goodwill, or data.
To the extent permitted by law, CAPSULE’s total aggregate liability arising from the Service will not exceed the amount you paid to CAPSULE for the Service during the 12 months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.
28. Indemnification
To the extent permitted by law, you agree to indemnify and hold CAPSULE harmless from claims, liabilities, damages, losses, and reasonable costs arising from:
- Your unlawful use of the Service
- Your violation of these Terms
- Your violation of third-party rights
- Content or data you provide
- Communications sent through your account
- Your violation of applicable third-party platform policies
29. Changes to the Service
We may update, improve, modify, replace, or discontinue features from time to time.
Where a change materially affects a paid service, we will provide notice where reasonably required.
30. Changes to these Terms
We may update these Terms periodically.
The latest version will be published on this page with an updated “Last updated” date.
Material changes may also be communicated through CAPSULE, email, or another reasonable method.
Your continued use of the Service after revised Terms become effective constitutes acceptance where permitted by applicable law.
31. Governing law
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law principles.
Any disputes will be handled in the courts located in Toronto, Ontario, Canada, unless applicable law requires otherwise.
